📑 Thoda Local – Terms and Conditions (T&C):

1. Introduction
Welcome to Thoda Local Private Limited (“Company”, “We”, “Us”, “Our”). By registering as a Vendor or using our platform, you (“Vendor”, “You”) agree to abide by these Terms & Conditions. These T&C form a binding legal agreement between the Vendor and the Company.
2. Vendor Eligibility & Registration

Vendor must provide complete and accurate information.

Vendor must hold valid licenses (FSSAI, GST if applicable) and identity proofs.

Company reserves the right to verify, accept, or reject any vendor registration.

Vendor registration is allowed only for legal, registered businesses.
3. Listing & Products

Vendors are responsible for quality, authenticity, pricing, and packaging of listed products/services.

Any illegal, prohibited, or counterfeit items are strictly prohibited.

Vendors must provide up-to-date product information and ensure availability as listed.
4. Orders & Fulfillment

Vendors must fulfill orders within committed timelines.
-
Any cancellations without valid reason may incur penalties or temporary suspension.

Company is not liable for any delays, damages, or customer complaints arising from vendor actions.
5. Payment & Commission

Listing Fee: First 1 month free. After that ₹399/month maintenance fee applies.

Commissions: Taken on each order as discussed privately with the vendor.

Commission details are confidential and must not be disclosed publicly.

Payment settlements are made weekly/bi-weekly after deduction of applicable fees and commissions.
6. Vendor Obligations

Maintain minimum 90% order acceptance rate.
-
Maintain proper hygiene and safety standards for food or consumable products.
-
Ensure accurate product descriptions, pricing, and availability.
-
Cooperate in customer complaints, replacements, or refund processes.
7. Intellectual Property
-
Vendor confirms products/services do not infringe copyrights, trademarks, or patents.

Company owns all platform content, logo, branding, and software.
8. Data Privacy

Vendor data will be handled per our Privacy Policy.

Vendors must protect customer data and not misuse or share it.
9. Suspension & Termination
Company may suspend or terminate vendor accounts if:

Fraud, misrepresentation, or policy violation is found

Poor hygiene, repeated complaints, or delivery failures occur
-
Legal/regulatory non-compliance is detected
-
Remaining dues will be settled after lawful deductions.
10. Liability

Company is not responsible for:

Product quality or safety
-
Vendor-customer disputes
-
Losses caused by vendor actions
-

Vendors are solely responsible for their business operations.
11. Modifications

Company may update T&C anytime.
-
Continued use of the platform means acceptance of updated terms.
12. Governing Law & Jurisdiction

These Terms & Conditions are governed by the laws of India.

Any disputes shall be resolved under the jurisdiction of courts in Delhi, India.
